Prepare contracts, agreements and memorandums of understanding requested
stakeholders or any of its subsidiaries with other parties, preparing a legal evaluation in
coordination with the relevant departments.
Review the purpose of stakeholder contract to identify its nature and importance and the
need for contracting, commenting on the accuracy of the drafting and clarify the
obligations of all parties to the contract to ensure that there is no ambiguity or
repudiation of the subsequent implementation of these obligations.
Review draft contracts and agreements prepared by the team and give legal opinion
supposition, recording observations to protect the rights and its subsidiaries.
Review the draft contracts received from suppliers to ensure that there is no clause in the
contracts that is contrary to or inconsistent with the requirements, policies or
Government legislation.
Review tender documents to ensure that all the components of the tender are included
guiding those concerned and answering their inquiries if required.
Verify the financial contractual value, dates of receipt, delivery and the obligations that
fall on each Company to determine the payment mechanism is in line with
requirements, reporting on variations.
Analyze of the terms and conditions of the contract, reviewing and determining the penal
conditions in the contract that force the insinuating party to implement its obligation, in
order to guarantee the right of and to avoid applying the penalty clause to it.
Ensure the validity of the signing of the contract to ensure that there is no write-off or
correction after signing.
Policy and Procedures
Interpretation of the relevant policies and procedures of the Procurement Department
and/or departments involved in the contract to ensure the legality of the tasks performed
in relation to the contract.
